Service Agreement & Scope

Project Scope & Deliverables

• All projects begin with a detailed scope definition and written agreement
• Deliverables, timelines, and milestones are clearly outlined before work begins
• Changes to project scope require written approval and may affect pricing/timeline
• We provide regular updates and maintain transparent communication throughout projects

Client Responsibilities

• Provide necessary materials, access, and information in a timely manner
• Respond to requests for feedback and approvals within agreed timeframes
• Ensure all provided content is legally compliant and properly licensed
• Maintain confidentiality of any proprietary methods or processes shared

Payment Terms & Pricing

Payment Schedule

• Initial deposit required to begin work (typically 30-50%)
• Progress payments tied to milestone completion
• Final payment due upon project delivery
• Monthly retainer options available for ongoing services

Payment Methods

• Bank transfer (preferred method)
• Mobile money (Airtel Money, MTN MoMo)
• International wire transfer
• Payment terms: Net 15 days from invoice date

Late Payment Policy

Late payments may result in project suspension and/or additional fees. We reserve the right to charge interest on overdue amounts at a rate of 2% per month.

Intellectual Property Rights

Client-Owned Work

Upon full payment, clients receive ownership of custom-developed solutions, designs, and deliverables specifically created for their project.

Ori Studio-Owned Assets

We retain rights to our proprietary methods, frameworks, templates, and pre-existing intellectual property used in service delivery.

Portfolio Rights

We reserve the right to showcase completed work in our portfolio and marketing materials unless confidentiality agreements specify otherwise.

Third-Party Materials

Clients are responsible for ensuring proper licensing of any third-party materials, fonts, images, or content they provide.

Warranties & Limitations

What We Guarantee

• Professional quality workmanship
• Adherence to agreed specifications
• 90-day warranty on development bugs
• Timely delivery per agreed schedule
• Confidentiality of client information

Limitations of Liability

• Liability limited to project fee amount
• No responsibility for third-party service failures
• Client data backup is client's responsibility
• Market performance results not guaranteed
• Force majeure events excuse performance

Project Termination

Termination by Client

Clients may terminate projects with written notice. In such cases:

• Payment due for all completed work
• Client receives deliverables completed to date
• Deposits are non-refundable
• 30-day notice required for ongoing retainer services

Termination by Ori Studio

We may terminate projects for:

• Non-payment or breach of payment terms
• Failure to provide necessary materials/cooperation
• Requests for illegal or unethical work
• Abusive or unprofessional behavior

Governing Law & Disputes

Jurisdiction

These terms are governed by the laws of Zambia.

Any disputes will be resolved in the courts of Livingstone, Zambia.

Dispute Resolution

We prefer to resolve disputes through direct communication.

Mediation may be pursued before formal legal proceedings.
